Terms of Service

Effective Date: June 3, 2026

These Terms of Service ("Terms") govern your access to and use of the Cobra Dispatch Trip Lease Portal ("Service") operated by Cobra Dispatch, LLC ("Company", "we", "us").

1. Acceptance of Terms

By accessing or using this Service, you agree to be legally bound by these Terms. If you do not agree, you must not use the Service.

2. Use of Service

The Service is provided for contractors and authorized users to submit trip lease requests and related operational data. You agree to provide accurate, complete, and current information.

3. Contractor Responsibility

You are solely responsible for:
• Accuracy of submitted information
• Maintaining required insurance and compliance
• Any driver, vehicle, or load information submitted

4. Payments and Access

Access to the portal may require payment of fees. Failure to maintain payment status may result in restricted access. Payments are processed through third-party providers.

5. No Guarantee of Approval

Submission of a trip lease request does not guarantee approval. All requests are subject to review and approval.

6. Limitation of Liability

To the maximum extent permitted by law, Cobra Dispatch, LLC shall not be liable for any indirect, incidental, or consequential damages arising from use of the Service.

7. Indemnification

You agree to indemnify and hold harmless Cobra Dispatch, LLC from any claims, damages, or liabilities arising from your use of the Service or submitted information.

8. Electronic Signatures (E-SIGN Act)

By using this Service, you consent to the use of electronic signatures, records, and communications. You agree that your electronic signature is legally binding under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable Texas law.

9. DISPUTE RESOLUTION – BINDING ARBITRATION

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE SERVICE SHALL BE RESOLVED BY BINDING ARBITRATION.

Arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the State of Texas.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration provision.

10. CLASS ACTION WAIVER

YOU AGREE THAT ANY DISPUTES SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas.

12. Modifications

We may update these Terms at any time. Continued use of the Service constitutes acceptance of updated Terms.
